Terms of Service

1 · Who these Terms apply to

Levee is a business-to-business platform. A hospitality business (“Customer”) enters into a subscription or order form with Levee to use the platform. Customer’s authorized employees and contractors (“Users”) access the platform under accounts the Customer provisions and controls.

By accessing or using Levee, a User agrees to these Terms on behalf of themselves and confirms they are authorized by their employer to do so; a Customer agrees to these Terms, together with its order form and any separately executed agreement, on behalf of itself and its Users.

If a separately signed master services agreement or order form between Customer and Levee conflicts with these Terms, that agreement controls for the parties to it.

2 · The service

Levee provides tools for hospitality operators to run inspections, manage and publish SOPs and brand standards, track compliance, train staff, and analyze operational performance, including AI-assisted analysis of submitted photos, video, and voice audio.

The service is available through the Levee web portal, the native mobile application, and, where a Customer chooses to enable them, optional integrations with property-management systems (PMS) and AI assistant connectors — for example ChatGPT, Claude, or GitHub Copilot — built on the Model Context Protocol.

Levee may add, change, or discontinue features over time, and will make reasonable efforts to communicate material changes that affect a Customer’s use of the service.

3 · Accounts and acceptable use

Users are responsible for maintaining the confidentiality of their login credentials and for activity that occurs under their account. Customer is responsible for the conduct of its Users and for promptly deactivating access for Users who should no longer have it — for example, on termination of employment.

When using Levee, Users and Customer agree not to:

• Access or attempt to access another tenant’s data, accounts, or facilities.
• Use the service to violate applicable law, or to store or transmit content that infringes a third party’s rights.
• Reverse engineer, decompile, or attempt to extract source code or underlying models from the platform, except where applicable law specifically permits it.
• Use an AI assistant connector, API key, or OAuth grant beyond the scope granted to it, or attempt to circumvent rate limits, scope restrictions, or tenant isolation.
• Interfere with the security, integrity, or normal operation of the service.

4 · Customer Content

“Customer Content” means the inspection records, SOP and brand-standard text, checklist data, photos, video, voice audio, and other content that Customer or its Users submit to or create in the platform. As between the parties, Customer owns Customer Content.

Customer grants Levee the rights necessary to host, process, and display Customer Content in order to provide the service, including the AI-assisted analysis features Customer or its Users choose to use.

Levee processes Customer Content as a data processor or service provider on Customer’s behalf, as described in Levee’s Privacy Policy and the applicable Data Processing Addendum. Customer represents that it has the rights and any required consents to submit Customer Content to Levee, including any media containing images of individuals.

5 · AI-assisted features

Levee’s AI-assisted features — for example automated defect detection, compliance scoring, coaching content generation, and the SOP and brand-standards search available through AI assistant connectors — are decision-support tools. They are not a substitute for professional judgment, and Levee does not guarantee the accuracy, completeness, or reliability of any AI-generated output.

Customer is responsible for reviewing AI-generated results before relying on them for safety-, compliance-, or personnel-critical decisions.

6 · Third-party integrations and AI connectors

Where Customer enables a PMS integration or an AI assistant connector, that integration is also subject to the applicable third party’s own terms — for example the relevant AI assistant provider’s terms, and the PMS vendor’s own agreement with Customer. Levee is not responsible for the availability, accuracy, or conduct of third-party services.

A Customer or User may disconnect an AI assistant connector at any time, which immediately revokes its access to Levee.

7 · Fees

Fees for the service are set out in the applicable order form or subscription agreement between Customer and Levee, as are the payment, invoicing, and any late-payment terms that apply to them.

8 · Intellectual property

Levee retains all rights in the Levee platform, including its software, machine-learning models, and Levee-authored brand-standards templates, except for Customer Content as described above. Nothing in these Terms transfers ownership of Levee’s intellectual property to Customer or any User.

9 · Confidentiality

Each party may receive confidential information of the other in connection with the service. Each party agrees to protect the other’s confidential information with reasonable care and to use it only to perform its obligations or exercise its rights under these Terms and any applicable order form.

Where a Customer’s order form or master services agreement sets out more detailed confidentiality terms, those terms control for the parties to it.

10 · Disclaimers

The service is provided “as is” and “as available.” To the maximum extent permitted by law, Levee disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Levee does not warrant that the service will be uninterrupted or error-free, or that AI-generated output will be accurate.

11 · Limitation of liability

Any limitation or cap on liability, and any exclusion of indirect, incidental, or consequential damages, is as set out in the order form or master services agreement between Customer and Levee, except where applicable law does not permit it.

12 · Term and termination

These Terms remain in effect for as long as Customer has an active subscription or order form with Levee. Either party may terminate as provided in the applicable order form or agreement.

On termination, Levee will make Customer Content available for export for a reasonable period and will then delete or de-identify it, consistent with the Privacy Policy and any longer retention required by law.

13 · Governing law and disputes

Governing law, venue, and the dispute-resolution procedure are as set out in the order form or master services agreement between Customer and Levee.

14 · Changes to these Terms

Levee may update these Terms from time to time. The updated version is posted at this URL with a new “Last updated” date, and material changes get additional notice consistent with any notice terms in a Customer’s order form or agreement.
